1. Acceptance

By accessing or using the Varied Reach e-Voting Platform (“the Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Platform. These Terms apply to all users including Insolvency Professionals, team members, and homebuyers accessing the voting portal.

2. Description of service

The Platform provides digital tools for conducting Homebuyer Monitoring Committee Nominations and Elections under the Insolvency and Bankruptcy Code, 2016 (IBC). Features include homebuyer management, nomination workflows, election management, OTP-authenticated voting, encrypted ballot storage, audit logging, and document generation.

3. Accounts and eligibility

• Organisation accounts are created by Varied Reach and provided to registered Insolvency Professionals or their authorised firms.
• You are responsible for maintaining the confidentiality of your account and for all activity under your account.
• You must notify us immediately at support@variedreach.com if you suspect unauthorised access.
• Each homebuyer voting link is single-use and is non-transferable. Sharing a voting link constitutes misuse of the Platform.

4. Acceptable use

You agree not to:

• Use the Platform for any purpose that violates Indian law, IBBI regulations, or NCLT orders
• Attempt to circumvent vote limits, OTP authentication, or encryption
• Upload malicious content, run automated scripts against the API, or attempt to interfere with Platform availability
• Impersonate another user, homebuyer, or Insolvency Professional
• Use any scraping, crawling, or data-extraction tool on the Platform without written consent

5. Data and privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring that homebuyer data you import into the Platform was collected lawfully and that homebuyers have been informed of the election process.

6. Intellectual property

All software, design, content, and documentation on the Platform are the property of Varied Reach Technologies and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without prior written consent.

7. Pricing and payment

• Fees are as quoted in the formal Quotation or Proposal document issued by Varied Reach.
• All prices are exclusive of GST (18%) unless stated otherwise.
• Payment is due as per the invoice terms. Late payment may result in account suspension.
• Refunds are not provided for completed elections or downloaded documents.

8. Service availability

We target 99.5% uptime. Scheduled maintenance will be communicated at least 24 hours in advance. We are not liable for downtime caused by factors outside our reasonable control (force majeure, upstream infrastructure failures, etc.).

For live election windows, Enterprise clients should contact us in advance to schedule a maintenance-free window.

9. Limitation of liability

To the maximum extent permitted by law, Varied Reach Technologies shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform. Our total liability in any 12-month period shall not exceed the fees paid by you to us in that period.

The Platform is a tool that facilitates elections. The legal validity of any election under the IBC remains the responsibility of the Insolvency Professional conducting it, subject to applicable IBBI regulations and NCLT directions.

10. Indemnification

You agree to indemnify and hold harmless Varied Reach Technologies, its officers, employees, and agents from any claims, losses, or damages arising from your breach of these Terms, your use of the Platform, or data you import into the Platform.

11. Termination

We may terminate or suspend your access to the Platform immediately if you breach these Terms or if required by law. You may terminate your subscription by providing 30 days' written notice. Data export assistance will be provided for up to 30 days after termination.

12. Governing law and disputes

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra. We encourage resolution of disputes via good-faith negotiation before litigation.

13. Changes to these Terms

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Platform after the effective date constitutes acceptance.
